      WE ADVICE THAT YOU READ CAREFULLY THESE BINDING LEGAL TERMS OF USE (“TERMS OF USE” OR “AGREEMENT”) BEFORE USING THIS SITE OR MAKING A RESERVATION. THIS AGREEMENT GOVERNS ANY AND ALL USE OF THE SITE AND CONTENT.

      BY ACCESSING, USING, VIEWING, TRANSMITTING, CACHING OR STORING THIS SITE OR ANY OF ITS SERVICES, FUNCTIONS, MATERIALS OR CONTENTS, YOU ARE TAKEN TO HAVE AGREED TO EACH AND ALL THE TERMS, CONDITIONS, AND NOTICES IN THIS SITE WITHOUT MODIFICATION.

By using our services, you agree to be bound by these Terms as well as our Privacy Policy. If you are an organisation using our services, you hold your organisation, your employees, agents and any other third party bound to these terms while using our services through your subscription to our platform.
      We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms of Use at any time and suggest that you check these Terms of Use periodically for changes to ensure that you are familiar with the most recent version. Your continued use of the Site will be deemed acceptance of any changes to these Terms of Use. You agree that notice of changes to these Terms of Use posted on the Site constitutes reasonable and sufficient notice. At all times, you are bound by the then-current version of these Terms of Use and all applicable laws.
      Please note that the statements set under the headings “Simply Put”, are provided as a courtesy solely for your convenience and are not legally binding or otherwise intended to modify these Terms in any way.
      By using Paralex services, you agree to our Terms of Use. By subscribing to Paralex services, you represent yourself as having capacity to contract and bind yourself, notwithstanding that you are under the age of 18 and that the services sought to be rendered by Paralex are necessary to obtain value that benefits a person of your age.
      Simply put:
      Persons under 18 can use our services but you represent yourself as having capacity to contract and bind yourself.

      1. Auto-Renewals and Paid Accounts
        Paralex has partnered with an external payment platform to accept and handle all payments for and on its behalf. This third-party payment platform on behalf of Paralex may automatically charge you at the end of your subscription period to auto-renew your subscription. This automatic charge at the end of your subscription will occur unless you notify us that you want to cancel your subscription to our services before the renewal date. To ensure uninterrupted service and to enable you conveniently purchase additional products and services on Paralex, our third-party payment platform will store your payment method on their system if you wish them to. However, if you do not wish for your payment details to be stored with them, you have to indicate so on our platform.
        Please note that it is your responsibility to maintain current billing information on file with Paralex and on our third-party payment platform.
        Also note that your subscription fee to Paralex is different from the payment you shall make on the platform for services that you choose. For example, if you wish to register a Business name, you will have to make a payment for this service which is different from the payment you made for subscription to our services.
        Simply put:
        It is your duty to notify us if you wish to cancel or not renew your subscription, and you understand that your payment details may be stored on your behalf by the third-party payment platform handling all payments made to Paralex.
      2. Refund Policy
        We want you to be 100% satisfied with our services. If you are less than satisfied or believe there has been an error in billing, please contact our Customer Service Department by email at hello@paralex.com or by telephone at 08012345678 Immediately so that we can resolve the issue.
        We do not offer refunds on payments we have collected for incorporation related services (including without limitation registered agent services) or to other third parties with a role in processing your order. We also cannot refund any money paid by you directly to third parties, such as payments made by you for the account of other entities or directly to participating legal practitioners on the platform.
        Simply put:
        We place customer satisfaction as our highest priority and we are committed to resolving any issue you have. However, we do not give refunds for services that you have already used or rendered by third parties that were only facilitated.
      3. Paralex is not a Law Firm and does not provide Legal Advice
        Paralex provides a platform access to legal information, other entities associated with Paralex, for self-service and access to legal practitioners to assist you in any work that requires the attention and assistance of a legal practitioner. All information provided by Paralex on this Site is provided to the public as a source of general information on various issues. In legal matters (“Legal Information”), no publication whether written or in electronic form can take the place of professional advice given with full knowledge of the specific circumstances of each case and proficiency in the laws of the relevant state in our jurisdiction or any other jurisdiction you wish to seek legal advice from.
        If you need legal advice for a specific problem, you should consult with a licensed legal practitioner. Although you have access to qualified legal practitioners registered with Paralex who may proffer services in respect of diverse issues you may have, you are not obligated to consult them for legal advice.
        Your use of the services does not create a lawyer-client relationship between you and any Paralex employee or representative.
        Simply put:
        Paralex does not provide legal advice; only licensed legal practitioners can do that. We can connect you with independent lawyers and law firms on our platform, but we are not responsible for the advice they give.
      4. Interactions with Legal Practitioner on Paralex
        When you use our services, you will have the opportunity to initiate contact with the legal practitioners accessible on our platform. These legal practitioners are neither employees nor agents of Paralex. They are third-party independent contractors who carry out their practice separate from Paralex. Communicating with legal practitioners on our platform is NOT mandatory. However, if you choose to communicate with them through Paralex, please not the following below:
        • When you contact a legal practitioner on our platform and they provide you with legal assistance, review of documents, consultation, answers to legal questions etc. Please note that such interaction is between you and the legal practitioner and any lawyer-client relationship that arises from your interactions with them is strictly between you and the legal practitioner and expressly EXCLUDES Paralex.
        • When you contact a legal practitioner through Paralex, he/she may ask you for some information regarding you and your legal affairs in order to offer you the best legal assistance they can. By using our services, you consent to sharing such information with Paralex. Paralex will have access to any communications submitted through our platform for quality assurance purposes.
        • When you contact a legal practitioner through Paralex, you control the duration and depth of the interaction. Any lawyer-client relationship formed during the course of the interaction may at your decision, either end when the interaction ends or continue if you wish to continue engaging the services of the legal practitioner.
        • Any lawyer-client relationship you create with a legal practitioner on our platform that goes beyond your use of our services, will be on the terms agreed between you and the legal practitioner. Those terms do NOT involve Paralex.
        • Paralex will not interfere with any legal practitioners professional judgement. Legal practitioners on our platform reserve the right to refuse to perform legal services on your behalf in their sole discretion subject to the Rules of Professional Conduct for Legal Practitioners 2007.
        • Paralex is an information provider and self-service facilitation platform, and does not endorse or recommend any legal practitioner or law firm. However, legal practitioners with high ratings from previous dealings with Paralex users will have their high ratings by their name and may come up first when a user searches for a legal practitioner to deliver a service or services to them. Paralex makes no representations to the qualifications or competency of any legal practitioner or as to the accuracy or completeness of their work.
        PARALEX SHALL HAVE NO RESPONSIBILITY OR LIABILITY OF ANY KIND FOR ANY PROFESSIONAL SERVICES RENDERED BY ANY LEGAL PRACTITONER YOU ENCOUNTER ON OR THROUGH OUR PLATFORM, AND ANY USE OR RELIANCE ON SUCH PROFESSIONAL SERVICES IS SOLELY AT YOUR OWN RISK.
        Simply put:
        The legal practitioners you find on our platform are independent contractors, not Paralex employees, so they are free to set their own terms and fees. Paralex is not responsible for the services or advice they give.
      5. Legal Practitioners Profiles on our Platform:
        Although Paralex signs an agreement with the legal practitioners on our platform attesting to the fact that they are licensed to practice in Nigeria, as a user, it is your duty to ensure that the legal practitioner you engage has been called to the Nigerian Bar and is licensed to practice in Nigeria. The same applies to law firms and any lawyer that you engage from any law firm to render legal services to you or a third-party.
        Simply put:
        We provide a directory of legal practitioners in Nigeria as a service to the public and not as an endorsement to these legal Practitioners. It is up to you to research any legal practitioner you are thinking of hiring.
      6. Persons under Eighteen (18)
        By using Paralex services, you agree to our Terms of Use. By subscribing to Paralex services, you represent yourself as having capacity to contract and bind yourself, notwithstanding that you are under the age of 18 and that the services sought to be rendered by Paralex are necessary to obtain value that benefits a person of your age.
        Simply put:
        Persons under 18 can use our services but you represent yourself as having capacity to contract and bind yourself.
      7. Paralex Filing Services:
        Paralex filing services are intended for users who wish to incorporate a business name or register a company at the Corporate Affairs Commission, for users that intend to file or obtain licences at other government agencies such as NAFDAC, AMCON, FIRS, NIS, NCS, DPR, NPA etc. and for users that intend to file court processes at the registry of the State High Courts, Federal High Courts, National Industrial Court and Appellate courts in Nigeria. Paralex reserves the right to advice change in all or any of its service fees at any time without notification to you and such change will not affect committed transactions fully paid for before the change is notified to you. We will however, endeavour to communicate notice of any change of our service fees to you.
        Simply put:
        We provide you with paralegal services and the cost of our services may change from time to time with due notice to you.
      8. Termination of Membership and Access Restriction:
        While Paralex appreciates, and is happy to retain your patronage, it reserves the right, in its sole discretion to terminate your access to the Services, for any reason and at any time without prior notice. We may suspend or terminate your use of the services if you are not complying with these terms, or if you are using the services in a manner that would disrupt the services, disrupt others, or expose us to legal liability.
        If Paralex elects to withdraw or terminate your subscription to our services, we will provide you with notice at your registered email address. Paralex also reserves the right to modify or discontinue, either temporarily or permanently, any part of its services with notice. You agree that Paralex will not be liable to you or to any third-party for any modification, suspension, or discontinuance of your membership in the services.
        Simply put:
        Paralex has the right to cancel or suspend your subscription and account at any time. This is a very rare occurrence and would only happen if you were violating the terms, breaking the law or otherwise misusing the service.
      9. Ownership and Preservation of your Documents
        Paralex does not claim ownership of any documents you either create or upload and store using our Cloud Services ("Documents"). You grant Paralex permission to use your documents in connection with providing services to you.
        You acknowledge and agree that Paralex may preserve these documents as well as disclose them if required by law to do so or in the good belief that such preservation or disclosure is reasonably necessary to accomplish any of the following:
        1. To comply with legal process, applicable laws or government request;
        2. To enforce the terms in this agreement;
        3. To respond to claims that any content violates the right of third-parties;
        4. To protect the rights, property, or personal safety of Paralex, its users and the public.
        You understand that the technical processing and transmission of the Service, including your content, may involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices. You agree that Paralex has no responsibility or liability for deleting or failing to store any content maintained or uploaded for services when no longer required.
        Simply put:
        The documents you create and store on our platform and cloud service belong to you. But if required to by law, we have to share them on need to have basis.
      10. Consent to Receive Emails
        By creating an account, you agree that you may receive communications from Paralex, such as newsletters, special offers, and account reminders and updates. You also understand that you can remove yourself from these communications by clicking the "Unsubscribe" link in the footer of the actual email. However, we advise that you do not unsubscribe from our mailing list as you get notified using the email you register with and your phone number as to the progress of your transactions on Paralex platform.
        Simply put:
        Paralex may send you emails, but you can unsubscribe at any time. However, we advice that you do not.
      11. Acceptable Use of our Services
        Services on our platform are divided into two (2) sections, “Logistics” and “Legal Assistance.”
        Logistics:
        Logistics are paralegal services which may be rendered by non-certified lawyers duly authorized, who have permission or authority to provide such services in aid of individuals entities or to support discharge by legal practitioners of non-core paralegal assistance to discharge their professional duties, for example; filing processes that have been duly prepared by solicitors, serving processes, tracking applications or requests with agencies of government or collection of permits, approvals, licenses from authorities, registries, and other agencies where third parties may be appointed by applicants or beneficiaries to take delivery of such approvals to follow up approval processes or take delivery of final permits, approvals or licenses on behalf of applicants or beneficiaries. These logistics services may be rendered through cloud storage, notifications, blog posts customer service communication forum, question and answer products, and other message services.
        Legal assistance:
        Legal assistance refers to professional services exclusively reserved to be rendered by legal practitioners who may be connected through the platform of Paralex to service users under this Terms of Use.
        Communication services:
        Our services also include communication services. You agree to use the communication services only to post, send, and receive messages or materials proper to and related to the particular communication service. When using a communication service, you agree that you will not do any of the following:
        • Defame, abuse, harass, stalk, threaten or violate the legal rights of others.
        • Publish post, upload, distribute, or disseminate any names, materials, or information that is considered inappropriate, profane, defamatory, infringing, obscene, indecent, and unlawful.
        • Create a false identity, represent yourself as someone else, or sign an agreement as someone else or on behalf of someone else or otherwise falsify or delete in an uploaded file any significant attributions or notices.
        • Upload files that contain software or other material protected either by intellectual property laws or by the rights of privacy or publicity except when
          • You own or control the necessary rights, or
          • You have received all necessary consents to do so.
        • Upload corrupted files, files that contain viruses, or any other files that may damage the operation of another’s computer or our software and servers.
        • Advertise, offer to sell, or offer to buy anything for business purposes except to the limited extent any particular Communication Service specifically allows such activity .
        • Restrict or inhibit any other user from using and enjoying the Communication Services.
        • Harvest or otherwise collect personally identifiable information about others, without their consent.
        • Violate any code of conduct or other guidelines, which may be applicable for any popular communication service.
        • Violate any applicable laws or regulations.
        Paralex reserves the right in our own discretion to review and remove materials posted to a communication service. We also reserve the right to disclose any materials posted, information or activity as necessary to satisfy any applicable law, regulation, legal process, or governmental request.
        Simply put:
        Logistics services are services that Paralex will provide directly while legal assistance are services of legal practitioners that may be engaged through Paralex platform. When you use our communications services, you agree to use the service for the purpose it was created and not to post anything illegal or abusive.
      12. No Unlawful Use of Our Service
        By using our services, you accept sole responsibility that you or any family member or third- party accessing our services through your subscription with us does not violate any applicable laws in the jurisdiction where our services are provided in. To enforce this provision, Paralex reserves the right to refuse membership, or suspend or terminate your account and subscription immediately and without any prior notice at our sole discretion bearing in mind our obligations to you and other service users.
        The following are specifically excluded or prohibited:br
        You may not hack, "scrape" or "crawl" Paralex website or servers whether directly or through intermediaries such as spiders, robots, crawlers, scrapers, framing, iframes or RSS feeds, or otherwise access or attempt to access any information Paralex has not intentionally made available to you on its website or mobile device application via purchased subscription. Your use of the Paralex website or mobile device application does not entitle you to resell any Paralex content without prior express written consent from Paralex.
        Simply put:
        If for any reason it would be illegal to use Paralex services, you agree not to do so.
      13. License Grant
        Subject to your compliance with these Terms, you are hereby granted a non-exclusive, limited, non-transferable, revocable license to use the Services as we intend for them to be used. As a registered Paralex user, you are licensed to keep, for your own personal records, electronic or physical copies of documents you have created on Paralex. You may not copy the content of Paralex forms or agreements for use or sale outside of Paralex. Any rights not expressly granted in these Terms are reserved by Paralex.
        When you transmit user content on Paralex, you hereby grant Paralex and its affiliates a non- exclusive, royalty-free, perpetual, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any such content, including throughout the world in any media. If you submit feedback or suggestions about our services, we may use your feedback or suggestions without obligation to you.
        Resale or unauthorized distribution of materials downloaded from the Paralex website and mobile device application is strictly prohibited. Use of these materials is for your personal or business use. Any resale or redistribution of our materials requires the express, written consent of Paralex.
        Simply put:
        As long as you follow these terms, you are welcome to use all Paralex services in the manner intended. The documents you create are yours for personal use, but you cannot sell or give away the Paralex template they are based on.
      14. Intellectual Property Rights
        Paralex retains all right, title and interest in and to its products and services, including, without limitation, software, images, text, graphics, illustrations, logos, service marks, copyrights, photographs, videos, music, and all related intellectual property rights. Except as otherwise provided in this agreement, you may not, and may not permit others to:
        1. reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of any of our products and services;
        2. sell, license, sublicense, rent, lease, distribute, copy , publicly display , publish, adapt or edit any of our products and services; or
        3. circumvent or disable any security or technological features of our products and services.

        You agree to indemnify and hold Paralex, your Program Sponsor and its affiliates and their respective officers, employees, directors and agent harmless from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind and injury (including death) arising out of any third party claims relating to your use of the Service, your violation of these Terms or your violation of any rights of another.

      19. Dispute Resolution

        However, if Paralex is not able to resolve a dispute with you after attempting to do so informally, then as a condition to use our services, we mutually agree to resolve such dispute through Mediation at the Lagos State Multidoor Court House and under the laws of the Lagos State Multi-door Courthouse unless parties agree to any alternative forum whenever a dispute arises. If settlement is not reached within 3 months of a written demand for mediation by either party, any unresolved controversy or claim shall be settled by arbitration administered by the Lagos State Multi-door Court House in accordance with its Laws.

        You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions and consolidation with other arbitrations aren't allowed.
        Notwithstanding our agreement to arbitrate our disputes as provided above, the following exceptions will apply to the resolution of disputes between us:
        • Paralex may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any unauthorized use or abuse of the Services without first engaging in mediation, arbitration or the informal dispute- resolution process described above.
        • Paralex may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any intellectual property infringement without first engaging in mediation, arbitration or the informal dispute-resolution process described above.
        • In the event that the agreement to arbitrate provided herein is found to be inapplicable or unenforceable for any reason, then as a condition to your use of the Services you agree that any resulting judicial proceedings will be brought in the appropriate court of record.
